The American outdoor apparel group Columbia Sportswear Company recently announced the acquisition of the remaining 40% equity of the Chinese joint venture Columbia Sportswear Commercial (Shanghai) Company (hereinafter referred to as Columbia Shanghai).
Columbia Shanghai, a Chinese joint venture company, was established in 2014 by Swire Resources Limited, a subsidiary of Swire Pacific Limited, and Columbia Sportswear Corporation.
Tim Boyle, president and CEO of Columbia, said the transaction is in line with the company ’s development strategy, which is to invest more in brand-led and consumer-first businesses in areas with high growth potential. Will strive to achieve Columbia's long-term sustained growth in the Chinese market.
Columbia Shanghai was established in Shanghai in January 2014 with an initial cooperation period of 20 years. According to the initial agreement between the parties, at any time after the fifth year, Swire Resources will have the right to sell its minority stake. Columbia currently owns 60% of the shares, Swire Resources owns 40%, and both parties share the profits and losses.
In 2017, Columbia Shanghai's sales in the mainland China market exceeded 1 billion yuan, and it is expected to achieve high single-digit growth in 2018. Columbia Shanghai currently operates 86 points of sale in China and sells products through a total of 750 points of sale through brand-specific websites and about 50 wholesalers. After the acquisition, Swire Resources remains Columbia's exclusive distributor in Hong Kong and Macau.
The transaction is expected to be completed by January 1, 2019, but it needs to be approved by the Chinese regulatory authorities.
